Terms of Service

1. Acceptance of Terms

By accessing or using Zentriq's services, including the Chrome extension, web application, and Zentriq Agent (collectively, the “Services”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Services.

2. Description of Services

Zentriq PunchOut (Chrome Extension): A browser extension that captures cart data from e-commerce websites and creates requisition worksheet lines in Microsoft Dynamics 365 Business Central.

Zentriq Agent: An AI assistant embedded in Business Central that allows users to query and interact with Business Central data using natural language, with built-in document capture.

3. Account and Eligibility

• You must sign in with a valid Microsoft account
• You must be authorized to access the Business Central environments you connect
• You are responsible for all activity under your account
• You must be at least 18 years old or have parental/guardian consent

4. Plans and Billing

4.1 Free Plan

The free plan includes limited monthly usage (5 cart captures, 20 agent messages). No payment is required.

4.2 Paid Plans

• Paid subscriptions are billed monthly via Stripe
• Prices are in CHF as displayed on the pricing page
• Subscriptions renew automatically unless cancelled
• You can cancel anytime — access continues until the end of the billing period

4.3 Refunds

We offer a 14-day money-back guarantee for first-time subscribers. After 14 days, refunds are issued at our discretion on a pro-rata basis.

5. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble the Services
• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to other users' data
• Overload, disrupt, or abuse the Services infrastructure
• Resell or redistribute the Services without authorization
• Use automated tools to scrape or extract data from the Services

6. Intellectual Property

All content, software, and technology comprising the Services are owned by Zentriq Software or its licensors. You retain ownership of your Business Central data and any content you provide.

7. AI Processing Disclaimer

Our AI-powered features (cart parsing, Zentriq Agent) use large language models (Claude by Anthropic). While we strive for accuracy:

• AI-generated results should be reviewed before use
• We are not liable for errors in AI parsing or agent responses
• Cart data sent for parsing is not stored or used for AI training

8. Business Central Integration

The Services interact with your Business Central environment through standard APIs and a lightweight AL extension. You acknowledge that:

• You are responsible for proper BC configuration and permissions
• We are not liable for issues caused by BC configuration, customizations, or third-party extensions
• Data modifications made through our Services (e.g., requisition worksheet lines) are your responsibility to verify

9. Limitation of Liability

To the maximum extent permitted by law, Zentriq Software shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Services. Our total liability is limited to the amount paid by you in the 12 months preceding the claim.

10. Service Availability

We aim for 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice. We reserve the right to modify or discontinue features with 30 days' notice.

11. Termination

Either party may terminate at any time. We may suspend your account for violation of these terms. Upon termination, your right to use the Services ceases immediately.

12. Governing Law

These Terms are governed by Swiss law. Any disputes shall be submitted to the competent courts of Zurich, Switzerland.

13. Changes to Terms

We may update these Terms with 30 days' notice via email or in-app notification. Continued use constitutes acceptance.
